2. Services Description

WasteWatchers provides waste management contract negotiation services to businesses across Canada. We negotiate with waste haulers on your behalf to secure better rates and terms.

3. Service Agreement

3.1 Performance-Based Model

Our services operate on a performance-based model. You only pay if we successfully negotiate savings on your waste management contract.

3.2 Compensation

Our fee is calculated as a percentage of the savings we achieve for you, as specified in your individual service agreement.

3.3 Term

The term of service will be specified in your individual agreement, typically covering the duration of your negotiated waste management contract.

4. Your Responsibilities

You agree to:

  • Provide accurate information about your current waste management contract
  • Respond to our inquiries in a timely manner
  • Authorize us to negotiate on your behalf
  • Review and approve any negotiated agreements before they are finalized
  • Pay agreed-upon fees according to the payment terms

5. Our Responsibilities

We commit to:

  • Negotiate in good faith on your behalf
  • Maintain confidentiality of your business information
  • Provide transparent reporting on negotiation progress
  • Seek your approval before finalizing any agreements
  • Act in your best interests throughout the negotiation process

6. Limitations of Liability

To the fullest extent permitted by law, WasteWatchers shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services.

Our total liability to you for any claims arising from our services shall not exceed the fees paid by you to WasteWatchers in the 12 months preceding the claim.

7. No Guarantees

While we strive to achieve the best possible savings, we cannot guarantee specific results. Savings depend on various factors including market conditions, your current contract terms, and hauler willingness to negotiate.

8. Confidentiality

We will keep your business information and contract details confidential and will not disclose them to third parties except as necessary to provide our services or as required by law.

9. Termination

Either party may terminate the service agreement with written notice as specified in your individual agreement. Termination does not affect payment obligations for services already rendered.

10. Intellectual Property

All content on the WasteWatchers website, including text, graphics, logos, and software, is the property of WasteWatchers and is protected by copyright and other intellectual property laws.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Canada and the province in which services are provided.

12. Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes may be submitted to mediation or arbitration as mutually agreed.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of any material changes by posting the updated terms on our website and updating the "Last Updated" date.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
